We regularly represent international and Vietnamese clients in “first in type” and major transactions, which require an extensive knowledge of the regulatory framework to ensure legal feasibility. Due to growth and existing client needs, we are looking for a highly motivated and intelligent person for the position of corporate commercial lawyer (Associate with Vietnamese lawyer’s license and 5+ years post license work experience) with tasks and requirements as outlined below. The successful candidate must fulfill all requirements. The position will involve working across Vietnam for our global client base, helping to develop the corporate practice and our other practice areas further. The role provides an opportunity for senior associates looking for an exciting and rewarding role in Vietnam.
Roles & Responsibilities:
Support clients with legal advisory including:
Transactional advisory, preparation and review of related contracts and reports
Company Formations and setup – related agreements
Labour law and related documents and contracts
Commercial contracts related to supply chains, commercial lease agreements, standard terms of business
Licensing related in particular to foreign invested entities in Vietnam
Review of complex contracts including BTO, SPA, BCC
Ad hoc advisory to the client is required, deep general knowledge expected
if required, prepare translations English – Vietnamese and vice versa
Legal Research and internal updates on a case by case basis
Job Requirements
Lawyer Practicing Certificate that issued by the Ministry of Justice. 5+ year experience after lawyer certification
University Graduate with major in Law (Preference will be given to candidates graduating from Ho Chi Minh City Law University, Hanoi Law University, University of Economics and Law or foreign law schools);
Experience in an international law firm or a firm dealing with foreign investments in Vietnam is a must
Fluent English in speaking and writing is essential. Studies or work secondment in a foreign country preferred but not essential.
Able to work in a team, willing and able to supervise and review work of junior team members
Analytical approach required
Proactive and willing to develop personally
Honesty and integrity essential, long term commitment essential
able to deliver good results under pressure
able to adapt quickly to new requirements and willing to learn
excellent knowledge of Microsoft Office software
